Terms of Use

These Terms of Use ("Terms") govern access to and use of the Rowanstone website located at www.rowanstone.org and participation in Rowanstone's diagnostic services. By accessing the website or engaging Rowanstone's services, you agree to be bound by these Terms on behalf of yourself and, where applicable, the organization you represent. If you do not agree, do not use the website or engage Rowanstone's services.

1. Use of Website

The Rowanstone website is provided for informational and professional communication purposes. You agree to use the website only for lawful purposes and in a manner consistent with these Terms. You agree not to:

• Disrupt, damage, or impair the operation or availability of the website
• Attempt unauthorized access to Rowanstone's systems, infrastructure, or data
• Introduce malicious code, viruses, or other harmful software
• Scrape, harvest, or systematically extract content from the website without written authorization
• Use automated tools to access the website in a manner that imposes unreasonable load on Rowanstone's infrastructure
• Misrepresent your identity, affiliation, or authority to engage Rowanstone's services

Rowanstone reserves the right to suspend or terminate access to the website, without notice, if misuse is detected or reasonably suspected.

2. Rowanstone Diagnostic Services

Rowanstone provides institutional diagnostic services designed to help leadership teams assess structural dynamics within their organizations, including signal integrity, decision authority, accountability structures, and governance alignment.

Scope of a Standard Engagement

Unless otherwise specified in a written engagement agreement, a standard Rowanstone diagnostic engagement includes:

• Deployment of a structured diagnostic survey to designated participants within the client organization
• Aggregation and analysis of survey responses
• Preparation of an institutional diagnostic report (Board Brief and Full Packet, as applicable)
• A leadership briefing summarizing findings

The scope of each engagement is governed exclusively by the applicable written engagement agreement. In the event of any conflict between these Terms and an executed engagement agreement, the engagement agreement controls with respect to the specific engagement.

3. Engagement and Payment Terms

Formation

A diagnostic engagement is formed only upon execution of a written engagement agreement between Rowanstone LLC and the client organization. No engagement is created by website inquiry, email correspondence, or verbal communication alone.

Fees & Payment

The standard engagement fee for a Rowanstone diagnostic is $10,000. Payment of the engagement fee is due in full prior to the launch of the diagnostic survey. Rowanstone will not deploy the survey instrument or commence analytical work until payment has been received and confirmed.

Refunds and Cancellation

Once the diagnostic survey has been launched and participant data collection has commenced, the engagement fee is non-refundable. If a client cancels prior to survey launch, Rowanstone will issue a full refund, less any documented administrative costs incurred (not to exceed $500).

4. Confidentiality

Rowanstone treats all engagement data as confidential professional information. Rowanstone will not disclose confidential client information to third parties except as required by law, with prior written consent, or to bound service providers.

Individual survey responses are analyzed in aggregate form only. No individual response will be attributed to a named participant without explicit written consent. Diagnostic outputs describe structural patterns; they do not identify, quote, or characterize individual respondents.

5. Advisory Nature of Results

Rowanstone diagnostic findings are analytical observations intended to assist leadership teams. Findings are advisory in nature and do not constitute:

• Legal advice or legal opinions
• Financial, accounting, or investment advice
• Regulatory compliance guidance
• Human resources or labor relations advice

Rowanstone is not a law firm. No attorney-client relationship is created by engaging Rowanstone's services.

6. Intellectual Property

All Rowanstone methodologies, frameworks, scoring instruments, and analytical models are the proprietary intellectual property of Rowanstone LLC. Upon full payment, Rowanstone grants the client a non-exclusive license to use its diagnostic reports for internal organizational and governance purposes only.

7. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, ROWANSTONE LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES. ROWANSTONE'S TOTAL CUMULATIVE LIABILITY SHALL NOT EXCEED THE TOTAL ENGAGEMENT FEES ACTUALLY PAID BY THE CLIENT FOR THE SPECIFIC ENGAGEMENT.

8. Governing Law and Dispute Resolution

These Terms are governed by the laws of the District of Columbia. Any dispute arising from these Terms that cannot be resolved through negotiation shall be submitted to binding arbitration administered by JAMS in Washington, D.C.

9. Miscellaneous

These Terms, together with any applicable engagement agreement, constitute the entire agreement. If any provision is found unenforceable, the remaining provisions continue in full force. Rowanstone may update these Terms periodically by posting revisions to the website.
